William C. Fallon is the chief executive officer of National Public Finance Guarantee Corporation. He oversees all
financial guarantee insurance activities for municipal bonds, tax-exempt debt and infrastructure finance. Mr. Fallon
is also president and chief operating officer of MBIA Inc. responsible for day-to-day operations of MBIA Inc. and its
subsidiaries. Previously, Mr. Fallon was head of Global Structure Finance having joined the Company in 2005 as a
managing director and head of Corporate and Strategic Planning.
Prior to MBIA, Mr. Fallon was a partner at McKinsey & Company, where he specialized in consulting with financial
institutions and was co-leader of the firm's Corporate Finance and Strategy practice and a key member of the North
American Wholesale Financial Institutions and Risk Management practices. He also worked extensively with financial
institutions in the areas of value-based management, valuation, mergers and acquisitions, securitization and risk
management.
Mr. Fallon has a BA in economics from the College of William and Mary and an MBA from The Amos Tuck School at
Dartmouth, where he was elected a Tuck Scholar.
Adam T. Bergonzi is the Chief Risk Officer of National Public Finance Guarantee Corporation. He oversees all of
National's risk and insured portfolio management activities.
From 1994 to 2006, Mr. Bergonzi worked at MBIA Insurance Corp. where he held positions of increasing responsibility
in MBIA's insured portfolio management, new business, finance and corporate strategy areas.
From 2006 to early 2008, Mr. Bergonzi served as a senior credit officer at XLCA, underwriting domestic municipal
finance and global infrastructure transactions. In March of 2008, he was promoted to Chief Credit Officer with a
mandate to rework the company's risk and governance framework and to lead select remediation efforts in the public
finance portfolio.
In 2008, Mr. Bergonzi departed XLCA to co-found a new monoline, Municipal and Infrastructure Assurance Corporation,
co-sponsored by Macquarie and Citadel Investment Group. He also served as the company's Chief Risk Officer,
developing its risk management capabilities and was principally involved in securing MIAC's financial guarantee
rating indication.
Mr. Bergonzi holds a B.A. degree from Colgate University (cum laude) and received his J.D. from the New York Law
School.
Brian Cooney is a managing director in Portfolio Surveillance at National Public Finance Guarantee Corporation. Mr.
Cooney is responsible for monitoring and management of insured credits in the Eastern Region. Prior to his current
role, he was a managing director in Portfolio Surveillance and managed credits in a number of sectors including
municipal housing, student loans, military housing and healthcare.
For more than 20 years, Mr. Cooney worked at MBIA Insurance Corp. where he served in a variety of positions with
increasing responsibility in MBIA's insured portfolio management, risk management and new business areas. Most
recently, he was in charge of the consumer and corporate asset-backed insured portfolio management effort. Mr.
Cooney also managed MBIA's Consumer Asset Finance group, which originated transactions secured by a variety of
non-mortgage consumer assets and served as a Risk Officer in the company's risk management division.
Mr. Cooney holds a BA in Business Administration from Saint Michael's College and an MBA from Clarkson University.
John Jordan is a managing director and senior member of the Risk Management group at National Public Finance
Guarantee Corporation. His primary responsibilities include identifying and managing emerging risks in the
municipal market as well as trends in the utility sector specifically, supporting surveillance and new business
underwriting activities. Mr. Jordan also supports remediation efforts in National's portfolio. Prior to his current
position, Mr. Jordan was a senior member of National's Portfolio Surveillance Group and previously was the Utilities
Sector Manager responsible for National's relationships with utility credits.
Previously, Mr. Jordan was a managing director and senior transactor in the Corporate and Municipal Utilities Group
of MBIA Insurance Corporation. Mr. Jordan joined MBIA in 2002 as a new business transactor and subject matter expert
for U.S. Investor Owned Utilities. His initial contribution was setting forth an acceptable new business strategy
for IOUs following the credit downturn in that sector. Subsequently, he expanded his activities to include U.S.
municipal, public power and prepay transactions as well as utility and energy project finance globally. Mr. Jordan
also has significant experience with rating agency capital models, pricing strategy and was very active in the 2008
restructuring of MBIA's insured variable rate debt portfolio.
His energy experience includes ten years of corporate and investment banking at Bank of America which was preceded
by eight years of general corporate lending experience at The Bank of New York. He received his formal credit
training at The Bank of New York and held a variety of finance positions at predecessor companies of J.P. Morgan
Chase.
Mr. Jordan has an undergraduate degree in business administration from the University of Notre Dame and holds an
M.B.A. from Fordham University.
Bill Rizzo is Managing Director and General Counsel of National Public Finance Guarantee Corporation and is
responsible for overseeing and coordinating all of the company's legal activities. His primary responsibility is to
ensure that the company complies with all applicable laws and regulations. He also acts as lead counsel on all
material transactions in which the company is involved and serves as head of government relations. In addition, Mr.
Rizzo is responsible for the monitoring and management of insured credits in the Western Region.
Prior to joining National in 2011, from 2008-2010 Mr. Rizzo helped develop a new financial guaranty insurance
company, Municipal and Infrastructure Assurance Corporation. Serving as the company's General Counsel, Mr. Rizzo
focused on regulatory matters and the development of risk management capabilities.
From 2003 to 2008, Mr. Rizzo was with XL Capital Assurance, Inc., now known as Syncora Guarantee. In the dual roles
of Associate General Counsel and Manager of Reinsurance, Mr. Rizzo was lead counsel for Syncora's US Public Finance
and Global Infrastructure businesses and was also responsible for the company's reinsurance activities across all
business lines.
In 1993 Mr. Rizzo began his career as an attorney in private practice. From 1996 to 2003, he focused on public
finance while an associate with both King & Spalding and Nixon Hargrave Devans & Doyle.
Mr. Rizzo holds an A.B. in Government from Georgetown University and a J.D. from Fordham University, School of Law.
Chris Young is a managing director and Chief Financial Officer, responsible for directing National Public Finance
Guarantee Corporation's financial operations including accounting, tax, planning, reinsurance, and rating agency and
regulatory relationships. Mr. Young also oversees Investor Relations at National. From 2001 to 2009, Mr. Young
worked at MBIA Insurance Corporation most recently as a Director of Corporate Strategy responsible for strategic
planning, special initiatives and establishment of alternative business platforms.
Before this, Mr. Young was responsible for a variety of new business activities in the operating assets and whole
business securitization sectors, small business loan transactions and structured settlement securitization.
Before MBIA, Mr. Young worked in Washington, DC providing state and local legislative consulting to national clients
focused on budgetary, banking and insurance issues.
Mr. Young earned a BA in Political Science from the George Washington University and a Master of Public
Administration from Columbia University.
